Terms of Service — Cornerstone Savings Group

These Terms of Service ("Terms") govern access to and use of the Cornerstone Savings Group CRM platform, related websites, and any associated email, SMS, voice, and AI-assisted features (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

1. Eligibility and Accounts

The Services are intended for business use by Cornerstone Savings Group personnel and authorized partners. Accounts are provisioned by Cornerstone. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

2. Acceptable Use

You agree not to:

Use the Services to send unlawful, deceptive, harassing, or unsolicited communications;
Attempt to gain unauthorized access to any part of the Services or related systems;
Interfere with the integrity, security, or performance of the Services;
Use the Services to violate applicable laws, including consumer protection, telemarketing, anti-spam, wiretap, and data protection laws such as the TCPA, TSR, CAN-SPAM, GDPR, and CCPA/CPRA;
Upload malware or content that infringes third-party rights.

3. Communications: Email, SMS, and Voice

The Services allow authorized users to send email, SMS, and voice communications through third-party providers such as Google Workspace, SendGrid, and Twilio. When using these channels, you are responsible for ensuring you have a lawful basis (such as prior express consent, an established business relationship, or another applicable legal basis) for each recipient, and for honoring opt-out requests promptly.

4. AI-Assisted Features

The Services include AI-assisted features that generate summaries, drafts, classifications, and suggestions. AI output can be inaccurate or incomplete. You are responsible for reviewing and approving AI content before it is sent to contacts or relied upon for decisions.

5. Contact and Campaign Data

You represent that contact information imported, entered, or otherwise made available to the Services has been collected in compliance with applicable law and any notices or consents you have provided to the data subject. You will not use the Services to build lists that violate third-party terms or law.

6. Third-Party Services

The Services integrate with third-party providers, including Google Workspace, Twilio, SendGrid, cloud hosting providers, and AI providers. Your use of these providers may be subject to their own terms and policies. Cornerstone is not responsible for third-party services.

7. Intellectual Property

The Services, including software, design, and content owned by Cornerstone, are protected by intellectual property laws. Cornerstone grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for authorized business purposes.

8. Confidentiality

The Services may expose you to information that is confidential to Cornerstone, its partners, or its clients. You will use such information only to perform your role and will protect it from unauthorized disclosure.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Cornerstone does not warrant that the Services will be uninterrupted, error-free, or that AI output will be accurate.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CORNERSTONE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES. Cornerstone's aggregate liability for any claim arising out of or relating to the Services will not exceed the fees you paid to Cornerstone, if any, for the Services during the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Cornerstone and its personnel from any claims, damages, liabilities, and expenses arising out of your use of the Services or your violation of these Terms.

12. Suspension and Termination

Cornerstone may suspend or terminate access to the Services at any time, including for suspected violations of these Terms, security concerns, or as required by law. Sections intended to survive termination will do so.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which Cornerstone Savings Group is organized, without regard to conflict-of-laws principles. Disputes will be brought in the state or federal courts located in that jurisdiction.

14. Changes

Cornerstone may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
